Terms and Conditions — SME
Marketplace
Acceptance of Terms: By
accessing or using the SME Hub Marketplace, the client agrees to these
Terms and Conditions in their entirety. Any deviation or exception must be
agreed upon in advance and in writing by both parties. Clients' own terms
and conditions shall have no effect, regardless of when they were issued.
Payment TermsI:
nvoices are payable within 30 working days from the date of issue, unless
an alternative payment period is specified on the invoice or order. In the
event of non-payment by the due date, the Marketplace reserves the right
to apply a late payment fee of up to 10% of the outstanding amount.
Continued non-payment may result in the suspension of services without
prior notice, in accordance with applicable Saudi regulations.
Debt Recovery: If
a payment remains outstanding for more than sixty (60) days beyond the due
date, the Marketplace reserves the right to engage a licensed debt
recovery service. All associated legal and recovery costs shall be borne
by the client, in accordance with the regulations set by the Saudi Central
Bank (SAMA) and relevant Saudi commercial laws.
Withholding Tax & Zakat Compliance: All payments shall be made in full, net of any
applicable deductions. Clients are responsible for fulfilling their own
obligations under Saudi tax and Zakat regulations, as governed by the
Zakat, Tax and Customs Authority (ZATCA). The Marketplace shall not be
liable for any costs or deductions arising from the client's tax
obligations. Invoice amounts are due in full and are not subject to
reduction on account of any applicable local tax or levy.
Service Delivery: The
Marketplace shall make reasonable efforts to deliver services in a timely
and professional manner, in accordance with agreed timeframes. However,
service delivery obligations are best-effort in nature and do not
constitute a guarantee of specific outcomes or results. The Marketplace
shall not be held liable as a third party in any dispute or claim brought
against the client by an end consumer or third party.
Claims & Disputes: Any claims relating to service delivery or performance
must be submitted in writing to the Marketplace's registered address
within eight (8) days of the service being rendered or the goods being
delivered. Claims submitted after this period will not be considered
admissible. Disputes shall be handled in accordance with the relevant
Saudi commercial dispute resolution procedures.
Governing Law: These
Terms and Conditions are governed exclusively by the laws of the Kingdom
of Saudi Arabia, including the relevant provisions of the Saudi E-Commerce
Law, the Communications, Space & Technology Commission (CST)
regulations, and any other applicable Saudi legislation. Any disputes
arising from these terms shall be subject to the jurisdiction of the
competent Saudi courts or the relevant arbitration body as stipulated by
Saudi law.
